Public Offer Agreement

This document is a public offer (proposal) by Ivan Andreevich Abramov, a natural person applying the special tax regime "Tax on Professional Income" (hereinafter — the Provider), addressed to an indefinite number of persons (hereinafter — the Customer), to conclude a service agreement on the terms set forth below.

1. General Provisions

1. This Public Offer (hereinafter — the "Offer") defines the procedure and conditions for the provision of services by the Provider using the website influtics.com (hereinafter — the "Service").
2. Acceptance of the Offer is constituted by the Customer performing any of the following actions: registering on the Service, paying for services, or using the Service's functionality after reviewing the terms of the Offer.
3. Acceptance of the Offer means the Customer's full and unconditional acceptance of all terms without any exceptions or limitations and is equivalent to the conclusion of a written agreement.
4. The Provider reserves the right to unilaterally amend the terms of the Offer at any time. Amendments take effect upon publication of the updated version on the Service.

2. Subject of the Agreement

1. The Provider undertakes to provide the Customer with access to the Influtics service — a platform for tracking and analytics of influencer marketing video content (hereinafter — the "Services").
2. The scope and cost of Services are determined by the pricing plans published at influtics.com/plans.
3. The Provider may change the cost of Services by notifying the Customer at least 5 (five) calendar days before the changes take effect through publication on the Service and/or by sending a notification to the Customer's email address.

3. Pricing Plans and Payment

1. The Provider grants the Customer access to the Service under the following pricing plans:
• "1000 videos" plan — tracking up to 1,000 videos per month, price — 9,000 RUB/month;
• "5000 videos" plan — tracking up to 5,000 videos per month, price — 20,500 RUB/month.
2. Payment is made by the Customer in full before the commencement of Services (100% prepayment).
3. Payment is made via electronic payment systems available on the Service.
4. The moment of payment is the moment funds are credited to the Provider's settlement account.

4. Rights and Obligations

4.1. The Provider shall:

1. Provide Services in a quality manner and in full accordance with the terms of the Offer.
2. Ensure technical support of the Service.
3. Issue a receipt in accordance with the cash register legislation.

4.2. The Customer shall:

1. Pay for Services in a timely manner in accordance with the selected pricing plan.
2. Provide accurate information during registration and use of the Service.
3. Not use the Service for purposes contrary to applicable law.
4. Not transfer account access to third parties.

5. Service Delivery

1. Services are considered delivered upon granting the Customer access to the Service's functionality within the selected pricing plan.
2. The reporting period is one calendar month.
3. Upon the Customer's request, the Provider provides a certificate of services rendered within 5 (five) business days of receiving the request.

6. Liability

1. The Provider is not liable for Service interruptions caused by force majeure or third-party actions.
2. The Provider's aggregate liability under this Offer is limited to the amount paid by the Customer for the period in which the breach occurred.
3. The Customer is responsible for maintaining the confidentiality of their account credentials.

7. Personal Data

Processing of the Customer's personal data is carried out in accordance with the Privacy Policy published on the Service. By using the Service, the Customer consents to the processing of their personal data.

8. Term and Termination

1. This Offer takes effect upon its publication on the Service.
2. The agreement concluded under the Offer is valid for the paid period and is automatically renewed for the next period upon the Customer's payment of the relevant pricing plan.
3. The Customer may terminate the agreement at any time by notifying the Provider through the Service or by email.
4. The Provider may terminate the agreement if the Customer breaches the terms of the Offer, by notifying the Customer by email at least 3 (three) calendar days in advance.

9. Dispute Resolution

1. All disputes arising from the Offer shall be resolved through negotiation.
2. The response time for a claim is 10 (ten) business days from receipt.
3. If no agreement is reached, the dispute shall be resolved in court at the Provider's place of registration.
